Effective corporate governance is fundamental to Vicwest Inc.
The role of the Board of Directors is to ensure that Vicwest Inc.’s governance system fosters a culture of trust, integrity and high standards of behaviour that help sustain a track record of success. The Board of Directors consists of five members, four of whom are unrelated to, and independent from Vicwest Inc.
The Board has established two committees, Audit & Human Resources and Governance, each of which exclusively comprises independent Directors.

Mr. Berrill is the President of Fragin Holdings Limited, a private investment company, and former President, Chief Executive Officer and director of Renasant Financial Partners Ltd., which is a financial services and technology trading organization. He has served as a director of Goldlist Properties Ltd., Tri-White Corporation and several private companies. Mr. Berrill is a member of The Bar of Ontario and holds a designation of Chartered Director from McMaster University. Mr. Berrill first became a Trustee in 2006, became Board of Trustee Chair in February 2009 and became a Director and Board Chair upon the completion of the Conversion.
Mr. Gillam is the President and CEO of Envirogreen Materials Corp., a corporation registered in the U.S., which is a global intellectual property license holder for the production of building products from mixed polymer wastes. Mr. Gillam is also a director of the MacDonald Laurier Institute. He was formerly CEO and Chairman of Vanbots Construction Group of Companies (“Vanbots”), an internationally recognized construction organization headquartered in Markham, Ontario, for 17 years. He is past Chairman of Carillion Canada Inc., a subsidiary of Carillion PLC of the UK. Prior to Vanbots, Mr. Gillam has received significant recognition for his contributions to the construction industry including a Fellowship in the Chartered Institute of Building and the Robert Stollery Award given for individual leadership and excellence by the Canadian Construction Industry. He is past Chairman of the Toronto Construction Association, is a Fellow of the Canadian Institute of Quantity Surveyors, a Fellow of the American Institute of Constructors and a certified member of the Institute of Corporate Directors, graduating from the Rotman School of Business, University of Toronto. Mr. Gillam first became a director in 2003, became a Trustee of the Fund upon the completion of the conversion from a corporate entity to an income fund, and became a Director upon the completion of the Conversion.
Mr. Hampson is President of NGPI Canada Inc., a Toronto based merchant banking firm. Previously, Mr. Hampson was a director and officer of a number of Newshore Capital Group affiliates which made private debt and equity investments and participated in structured finance transactions. Mr. Hampson has served as an advisor to Deans Knight Capital Management, a high yield bond manager, and as a Senior Director in the merchant banking practice of CIT. Prior to working at CIT, he worked almost 10 years for Bankers Trust Company and its successor Deutsche Bank, in the Capital Markets Division with responsibilities for fixed income, foreign exchange and commodities derivatives structuring and sales, and subsequently in the investment banking division where he was a Managing Director with responsibilities that included high yield debt, leveraged finance, mergers and acquisitions and restructuring advisory services. In addition, Mr. Hampson is a director of Madison Telecommunications Holding Inc. (a regulated telco) and a director of Deans Knight Income Corporation. Mr. Hampson first became a director of Vicwest in 2003, became Trustee upon completion of the conversion from a corporate entity to an income fund and became a Director upon the completion of the Conversion.
Mr. Mang retired in 1997 from Russel Metals Inc. as President, a position he had held since 1991. Mr. Mang joined the Russel Group of Companies in 1964 and served in various senior positions in locations across Canada. Mr. Mang is currently non-executive Chairman of Wainbee Holdings Ltd. He previously served on the boards of Revenue Properties Company Limited, Maverick Tube Corporation, Russel Metals Inc., Laclede Steel Company and on the boards of various steel institutes including Metals Service Center Institute, The Steel Alliance and the Canadian Steel Service Centre Institute. Mr. Mang is a Chartered Accountant and a retired member of the Institute of Chartered Accountants of Saskatchewan. Mr. Mang first became a director in 2003, became a Trustee upon completion of the conversion from a corporate entity to an income fund and became a Director upon the completion of the Conversion.
Mr. Osborne was appointed President and Chief Executive Officer of Vicwest effective October 1, 2007. Mr. Osborne has two decades of experience in the metals and manufacturing industry, most of it in senior operating and general management positions at the former Stelco Inc., an Ontario-based industrial group and leading supplier of value-added steel products to North American automotive, construction and manufacturing sectors. During that time, he set productivity, cost, quality and health & safety records at several manufacturing sites, and from 2004 to 2006, he acted as Chief Operating Officer during one of Canada’s largest corporate restructurings. More recently, Mr. Osborne provided private consulting services in and outside of the steel industry. He has been involved in several significant merger and acquisition transactions and has extensive capital market experience including assisting in the raising of over $200 million of equity in North America and Europe. Mr. Osborne is a professional engineer and has completed the Executive Program at the Queen’s University School of Business and has a Bachelor of Engineering (Materials/Metallurgy) degree from McGill University. Mr. Osborne first became an executive officer in 2007, became a Trustee in March 2008 and became a Director upon completion of the Conversion. As well as being a director of Vicwest, Mr. Osborne is also a director of Strongco Corporation, Tube City IMS (an Onex portfolio company) and the McMaster Innovation Park.
